  3.             LICENSE AGREEMENT TO OPERATE CONCESSION 
  4.  
  5. _________________, referred to as STORE, and ________________
  6. ________, referred to as LICENSEE, agree: 
  7.  
  8. STORE grants to LICENSEE the exclusive right for a term of _____
  9. ______, to operate a _____________ department for the sale, at
  10. retail, of computer programs, and other products which are
  11. customarily sold together with the licensed line of products. As
  12. to the related products, this right shall be non-exclusive. 
  13.  
  14. The total retail space permitted is _____________. In addition 
  15. ___________ shall permitted for storage. Storage space shall not
  16. be air conditioned or heated. The space to be provided to _______
  17. ______________ shall be located as shown the attached floor plan.
  18. The initial cost of refurbishment, and provision of fixtures shall
  19. be the sole responsibility of LICENSEE, and the plans and
  20. completed work shall be subject to the approval of STORE. However,
  21. STORE may from time to time in its sole discretion require that
  22. the licensed area be moved. In the event that a move is required
  23. by the STORE, the expense of moving shall be borne by the STORE. 
  24.  
  25. As rent LICENSEE shall pay the sum of ____ percent of all sales.
  26. LICENSEE shall provide a daily report to STORE of sales made that
  27. are paid for within its department. STORE shall provide a _______
  28. accounting of sums collected for sales originating within the
  29. department. In the event that STORE accepts payment for items
  30. purchased within the licensed department, the STORE shall provide
  31. price tags encoded so that sales are credited to LICENSEE. The
  32. minimum rental shall be $________(______________&___/100 dollars)
  33. per year. Settlement shall occur on a _______ basis. In the event
  34. that the rental as calculated per month is not equal to 1/12 of
  35. the annual rental, STORE shall have the right to bill LICENSEE for
  36. any short fall.

  38. The licensed department shall be open the same time as the store.
  39. Employees of the licensed department shall wear the same uniforms
  40. and name tags as employees of the STORE. Such uniforms, names tags
  41. and other personal items shall be provided by the STORE at its
  42. cost to LICENSEE. Employees of LICENSEE shall be subject to the
  43. same regulations as to dress and deportment as employees of STORE.
  44. The fact of this license shall not be made public, and the
  45. department shall be operated as if it was a a part of the STORE.
  46. LICENSEE shall be solely responsible for pay, fringe benefits and
  47. worker's compensation due to its employees. STORE may require that
  48. LICENSEE's employees attend training provided by it, and STORE
  49. shall bear the expense of the training, and LICENSEE shall pay its
  50. employees their regular wages for such training. STORE may in its
  51. discretion require LICENSEE to replace employees not meeting
  52. STORE's standards. 
  53.  
  54. STORE shall be authorized to accept returns and to settle disputes
  55. with LICENSEE's customers with reasonable discretion, and in
  56. keeping with its standard policy of customer service. Any amounts
  57. paid in refund and any merchandise returned to STORE shall be
  58. deducted from amounts due by the STORE to the LICENSEE and
  59. returned to LICENSEE, respectively. 
  60.  
  61. In the event that bank credit cards are accepted by STORE for
  62. sales made in LICENSEE's department, STORE shall remit the net
  63. amount of the sale, less the customary merchant discount. If STORE
  64. provides its own credit card: 
  65.  
  66. STORE shall pay for all sales of merchandise from LICENSEE's
  67. department sales which are made on its card in full; 
  68.  
  69. If STORE provides its own credit card, LICENSEE shall be provided
  70. with facilities for the acceptance of the same, and provided that
  71. STORE approves a charge transaction, STORE shall pay the same to
  72. LICENSEE at par. 
  73.  
  74. If STORE accepts checks, it may accept checks for sales from
  75. LICENSEE's department under the same terms and conditions as it
  76. accepts checks from its own customers. All sums in checks shall be
  77. initially credited to LICENSEE. However, LICENSEE shall be charged
  78. back for sums due to bad checks. All bad checks shall be collected
  79. by STORE, and the net sums collected paid to LICENSEE. 
  80.  
  81. LICENSEE shall spend a minimum of ____ per cent of its total
  82. projected minimum sales (which shall be determined by dividing the
  83. minimum rental by the percentage of sales paid as rental) on
  84. advertising. Said advertising shall be coordinated and placed
  85. through the STORE's advertising department or agencies. LICENSEE
  86. shall prepare all advertisements at its costs, however the same
  87. will be subject to the final approval of STORE. 
  88.  
  89. LICENSEE shall at all times maintain comprehensive general
  90. liability insurance and insurance on its stock with an insurance
  91. carrier acceptable to STORE with a minimum limit of $_____________
  92. (____________________&___/100 dollars). LICENSEE shall cause STORE
  93. to be named as an additional insured with payments to be made as
  94. the respective interests of the parties appear.

  96. If LICENSEE shall at any time fail to maintain adequate stock,
  97. employees and meet the standards of the STORE for service and
  98. operation, STORE shall specify the defects, and LICENSEE shall
  99. have no more than 72 hours to remedy the defects for the first
  100. notification, and 24 hours for any subsequent notification. If the
  101. LICENSEE does not cure any breach, STORE may terminate the license
  102. with LICENSEE. LICENSEE specifically waives the necessity of a
  103. judicial order requiring it to cease operations and vacate the
  104. premises and STORE shall be entitled to effect removal through
  105. self-help. 
  106.  
  107. In the event of the destruction of the premises or their
  108. condemnation during the term of this agreement, the LICENSEE's
  109. sole remedy shall an extended term equal to the remaining term
  110. under this agreement in any replacement store, or, if the existing
  111. store is damaged, to an extension of time equal to the time that
  112. the store is closed once the store is reopened. 
  113.  
  114. This agreement and the rights thereunder may not be assigned by
  115. either party without the prior consent of the other party. In the
  116. event that the store premises are leased or subject to a mortgage
  117. this agreement shall be subordinate thereto. LICENSEE agrees that
  118. it will execute a subordination agreement upon request of the
  119. LICENSOR.
